A $10 Billion Bid Could Reshape the Auto Parts World - Here’s What It Means for You

A $10 Billion Bid Could Reshape the Auto Parts World - Here’s What It Means for You

O'Reilly Automotive has made a bold move, offering $10 billion to buy Napa Auto Parts from Atlanta-based Genuine Parts Co. If the deal goes through, it would combine two of the biggest names in auto parts retail, potentially leaving consumers with fewer choices, steeper prices, and fewer jobs.

When giants merge, competition often takes a hit, and in this case, both stores could end up stocking the same brands, or one could simply swallow the other.

Napa, founded in 1928, operates more than 10,000 locations worldwide and employs about 60,000 people. O'Reilly, a younger chain, reports over 90,000 employees. Genuine Parts has been working with JP Morgan and Guggenheim Securities since February to separate its consumer auto parts business from its industrial arm, with Napa and its house brands looking for a new home.

O'Reilly hasn't made a major acquisition since buying CSK Auto Corp. for about $1 billion back in 2008. Genuine Parts CEO Will Stengel described the spin-off as a way to sharpen focus and unlock value, business speak that doesn't mean much to the average driver. But the numbers tell a story: Genuine Parts' industrial business, branded Motion, pulled in about $9 billion in revenue in 2025.

For shoppers, the real question is which store comes out on top. Napa stands out because some of its locations are independently owned franchises, while O'Reilly runs all corporate stores. Many DIYers prefer Napa for its knowledgeable staff, often older mechanics who know their way around a distributor cap, but they also face higher prices and thinner inventory.

A merger could put those franchise owners at risk, especially if local shop contracts disappear. 36%. With about 1,800 O'Reilly stores within a mile of a Napa, and 600 of those lacking nearby Advance or AutoZone locations, antitrust regulators may step in. For now, it's just a bid, but if it sticks, the auto parts aisle could look very different.
